Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
2. Intellectual property rights
Our Intellectual Property
We are the owner or licensee of all intellectual property rights in our Services, including our source code, databases, functionality, software, website designs, and original text, photographs, graphics, audio, and video created or provided by us (collectively, “Our Content”), as well as the trademarks, service marks, and logos associated with our Services (the “Marks”).
Our Content and Marks are protected by copyright, trademark, and other applicable intellectual property laws in the United States and around the world.
Our Content does not include original content submitted by users of our Services (“Contributions”). Ownership and permitted uses of Contributions are addressed in Sections 10 and 11 of these Legal Terms.
Our Content and Marks are provided through the Services “AS IS,” subject to the disclaimers and limitations described in these Legal Terms.
Your Use of Our Services
Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section below, we grant you a non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.
Except as expressly permitted by these Legal Terms or applicable law, no part of Our Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for commercial purposes without our prior written permission.
These restrictions do not apply to Contributions you own or to content you have otherwise been authorized to use.
If you wish to use Our Content or Marks beyond what these Legal Terms permit, please contact us at info@writingwoods.com to request written permission.
If we grant permission to reproduce, post, or publicly display Our Content or Marks, you must identify Writing Woods as the owner or licensor, as applicable, and retain any relevant copyright or proprietary notices, unless we expressly agree otherwise in writing.
We reserve all rights not expressly granted to you in Our Content and Marks.
Unauthorized use of Our Content or Marks may constitute a material breach of these Legal Terms and may result in suspension or termination of access to our Services, subject to applicable law.
Your Submissions and Contributions
Please review this section and Sections 9–11 of these Legal Terms to understand your rights and responsibilities when submitting information or sharing content through our Services.
Submissions: If you send us feedback, suggestions, ideas, or recommendations specifically concerning our Services (“Submissions”), you grant us a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, and implement those Submissions for the purpose of developing, improving, and operating our Services, without compensation or acknowledgment.
This license does not transfer ownership of your Submissions to us.
Creative writing, manuscripts, excerpts, critiques, and other original creative materials shared through our Services are considered Contributions, not Submissions, even when provided in connection with feedback or discussion.
Contributions: You retain ownership of the original content you create, upload, or share through our Services, including manuscripts, writing excerpts, critiques, comments, photographs, and other creative materials, subject to any rights held by third parties.
By posting or uploading Contributions, you grant us only the limited license described in Section 11, “Contribution License,” as necessary to operate and provide our Services.
We do not claim ownership of your Contributions or the right to sell, commercially publish, or otherwise exploit your creative work beyond the permissions expressly granted in these Legal Terms.
You are responsible for ensuring that you own or have the necessary permissions to share your Contributions. Additional responsibilities regarding Contributions, including compliance with our community rules, are described in Section 10, “User-Generated Contributions.”

10. User-generated contributions
Member Contributions
Our Services allow users to create, submit, post, upload, display, and share content through community forums, groups, discussions, messaging features, and other interactive areas.
Such content may include text, manuscripts, writing excerpts, critiques, comments, photographs, graphics, audio, video, and other materials (collectively, “Contributions”).
You retain ownership of your Contributions, subject to any rights held by third parties. The limited license you grant us to host and operate the Services is described in Section 11, “Contribution License.”
Content Visibility and Privacy
Contributions may be visible to other users of the Services or to the public, depending on the location in which they are shared and the applicable privacy and visibility settings.
Content shared in public areas of the Services may be accessible to individuals who are not registered members.
Content shared in private or restricted areas is intended to be accessible only to authorized members of those areas and to authorized administrators, moderators, and service providers as reasonably necessary to operate, secure, maintain, or moderate the Services.
We will not intentionally make Contributions from private or restricted areas publicly available without the content owner’s permission, except as required by applicable law or as reasonably necessary to address legal obligations, security threats, or abuse.
Although we take reasonable measures to maintain the intended visibility of Contributions, we cannot guarantee that other users will maintain confidentiality or refrain from copying, recording, or disclosing content they are able to access.
Your Responsibilities
By creating, submitting, or sharing Contributions through the Services, you represent and warrant that:
- You are the creator or owner of your Contributions, or you have obtained the rights, licenses, consents, and permissions necessary to share them through the Services and grant the limited license described in Section 11.

- Your Contributions comply with applicable laws, these Legal Terms, and our Community Guidelines.
- You will not use the Services or your Contributions to impersonate others, misrepresent your identity, or knowingly deceive or harm other users.
You are responsible for the Contributions you choose to share and for maintaining your own copies of important materials.
Respect for Other Members’ Content
You agree to respect the intellectual property rights and privacy of other members.
Access to another member’s Contributions does not grant you ownership of or unrestricted permission to use those Contributions.
Except as authorized by the content owner, permitted by applicable law, or reasonably necessary for participation in the intended community discussion, you may not:
- Reproduce, publish, distribute, sell, license, or commercially exploit another member’s original creative work.

We may remove Contributions or restrict access to them without prior notice when reasonably necessary.
We may also suspend or terminate accounts, restrict access to community features, investigate reports of misconduct, and report unlawful activity to appropriate authorities when warranted.
We are not obligated to publish, maintain, or continue displaying any particular Contribution.
Our moderation rights do not transfer ownership of Contributions to Writing Woods.

You are responsible for your Contributions and any violations of these Legal Terms arising from them.
To the extent permitted by applicable law, you may be responsible for losses, damages, or claims resulting from your infringement of third-party rights, unlawful conduct, or breach of these Legal Terms, as further described in Section 24, “Indemnification.”
Nothing in this section limits rights or remedies that cannot lawfully be excluded or waived.
11. Contribution license
Limited License to Operate the Services
By creating, uploading, posting, or otherwise making Contributions available through our Services, you grant Writing Woods a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, format, display, and maintain those Contributions solely as reasonably necessary to operate, provide, maintain, secure, and support our Services.
This license includes the right to:
- Store and maintain Contributions on our servers and those of our hosting and technical service providers.
- Create and maintain reasonable technical backups, including during server migrations, maintenance, and disaster recovery.

- Access and process Contributions as reasonably necessary for moderation, technical support, security, enforcement of these Legal Terms, and compliance with applicable legal obligations.
We may authorize hosting providers and other technical service providers to process Contributions on our behalf solely as reasonably necessary to perform these functions, subject to appropriate confidentiality and data protection obligations.
Limitations on Our Rights
This license does not transfer ownership of your Contributions to Writing Woods. You retain all ownership and intellectual property rights in your original Contributions, subject to any rights held by third parties.
Unless you provide separate, explicit permission, we will not:
- Sell, resell, or commercially license your original creative work.
- Commercially publish your manuscripts, writing excerpts, or other original creative materials outside the Services.
- Use your Contributions, name, image, or likeness in advertising or promotional materials.
- Create derivative works from your original creative materials for commercial exploitation.
- Grant third parties independent rights to commercially exploit your Contributions.
Nothing in these Legal Terms restricts your ability to publish, sell, license, revise, distribute, or otherwise use your own creative work.
Duration and Termination of License
The license granted under this section continues only for as long as reasonably necessary to provide the Services and fulfill the purposes described above.
When you delete a Contribution or close your account, the license ends with respect to content that has been deleted from the active Services, except to the limited extent reasonably necessary to:
- Maintain temporary copies in routine technical backups until those copies are removed according to ordinary backup retention procedures.
- Comply with applicable laws, legal obligations, or valid legal requests.
- Preserve records reasonably necessary for security, fraud prevention, dispute resolution, or enforcement of these Legal Terms.
- Maintain Contributions that remain available through the Services in accordance with applicable content-retention procedures, including material that has not been deleted or that forms part of ongoing community discussions.
Any retained Contributions remain subject to the limitations in this section and may not be used for unrelated commercial purposes.
No Transfer of Ownership
You retain ownership of your Contributions. The limited license granted to Writing Woods does not transfer copyright or other intellectual property ownership to us.
Our permission to host, store, and display Contributions does not grant other users ownership of, or unrestricted rights to use, your work.
Other users’ access to and use of Contributions remains subject to Section 10, “User-Generated Contributions,” these Legal Terms, and applicable law.
12. Social media
We may offer the ability to register for or access our Services using an account with a third-party provider, such as Google, Facebook, or another supported service (“Third-Party Account”).
If you choose to connect a Third-Party Account, you authorize us to receive and use the account information made available by that provider, which may include your name, email address, profile picture, and unique account identifier, solely as reasonably necessary to authenticate your identity, create or maintain your account, and provide our Services.
We will not access your private messages, contacts, friends lists, or other unrelated account information through third-party login unless we separately request and obtain any necessary authorization.
Your relationship with the third-party provider remains subject to that provider’s terms of service and privacy policy.
We are not responsible for interruptions or changes to third-party authentication services that may affect your ability to access your account.
Where supported, you may disconnect a linked Third-Party Account through your account settings or by contacting us at info@writingwoods.com. Disconnecting a Third-Party Account may affect your ability to sign in unless you establish an alternative login method.
For more information about how we collect, use, and protect personal information, please refer to our Privacy Policy.
13. Third-party websites and content
The Services may contain (or you may be sent via the Site) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
14. Services management
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
15. Privacy policy
We care about data privacy and security. Please review our Privacy Policy: https://writingwoods.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.
16. Copyright infringements
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a “Notification”). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law you may be held liable for damages if you make material misrepresentations in a Notification. Thus, if you are not sure that material located on or linked to by the Services infringes your copyright, you should consider first contacting an attorney.
17. Term and termination
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
18. Modifications and interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.
19. Governing law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Tennessee applicable to agreements made and to be entirely performed within the State of Tennessee, without regard to its conflict of law principles.
20. Dispute resolution
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Union County, Tennessee. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Union County, Tennessee, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
